Merle
D. Lewis
Chairman
With a strong strategic operational and leadership background,
Merle Lewis has provided the vision and strategic direction
behind the substantial growth of NorthWestern Corporation
over the last five years.
Mr. Lewis was elected chairman of NorthWestern Corporation
in May 1997 and has served as chief executive officer since
1994.
He is also chairman of the boards of NorthWestern Growth;
CornerStone Propane Partners, L.P.; Blue Dot; and Expanets,
and serves on the board of a number of private organizations.

Richard
R. Hylland
Vice Chairman
With an extensive background in strategic development,
operations and finance, Richard Hylland was named president
and chief operating officer of NorthWestern Corporation in
May 1998, after serving as executive vice president.
Prior to joining NorthWestern in 1989, he was with Arthur
Andersen, LLP as a senior financial consulting manager. Mr.
Hylland also serves on NorthWestern's board of directors and
is vice chairman of NorthWestern Growth; CornerStone Propane
Partners, L.P.; Blue Dot; and Expanets.
He is chairman of Franklin Industries and serves on the
board of LodgeNet Entertainment Corporation, in addition to
other private entities.

Daniel
K. Newell
Managing Director and Chief Executive Officer
Daniel K. Newell is managing director and chief executive
officer of NorthWestern Growth. He leads a staff specializing
in financial and strategic investments in a wide variety of
industries.
Mr. Newell has extensive experience in acquisitions,
strategic investments and financial structuring. Additionally,
he has been involved in numerous public securities offerings
and bank financings. He joined NorthWestern from Energy Fuels
Corporation in 1995, a privately held company with investments
in mining, banking and real estate, where he was chief financial
officer, vice president of finance and treasurer. In 1998,
he was named managing director and chief executive officer
of NorthWestern Growth.
In addition to NorthWestern Growth, Mr. Newell is senior
vice president and chief financial officer of NorthWestern
Corporation.
He also serves on the boards of NorthWestern Growth; CornerStone
Propane Partners, L.P.; Blue Dot; Expanets; and Franklin Industries,
as well as various other entities.

Gregory
T. Cox
Principal
Mr. Cox joined NGC in 1999. Prior to joining NGC, Mr.
Cox was a corporate and securities attorney with Wilson, Sonsini,
Goodrich & Rosati in Palo Alto, California. At Wilson,
Sonsini, Mr. Cox served as primary outside counsel to both
private and public companies in the areas of corporate securities,
venture capital, finance, mergers and acquisitions, and general
corporate law.
Mr. Cox holds an MBA degree from Stanford Business School,
a Juris Doctor degree from Stanford Law School, and received
bachelor's degrees in both economics and political science
from Stanford University.

Eric
R. Jacobsen
Principal
Mr. Jacobsen joined NGC in 1998. Prior to joining NGC,
Mr. Jacobsen worked 16 years in the legal profession, including
acting as principal legal advisor to boards of directors and
senior management of public and private companies. Most recently,
Mr. Jacobsen was vice president, general counsel for LodgeNet
Entertainment (NASD:LNET), a provider of interactive entertainment
services to the lodging industry. Previously, he was a partner
in the law firm of Manatt, Phelps & Phillips, Los Angeles,
California, where he specialized in corporate securities,
finance, mergers and acquisitions.
Mr. Jacobsen holds an MBA degree and a Juris Doctor degree
from the University of Southern California and a bachelor's
degree in political science from the University of California,
Santa Barbara. Mr. Jacobsen serves on the boards of NorthWestern
Growth and NorthWestern Energy.

Mark Mickelson
Principal
Mr. Mickelson joined NGC in 1997. Prior to joining NGC,
Mr. Mickelson was vice president and chief operating officer
for Hegg Companies, Inc., a real estate, hotel and restaurant
development and management company. Previously, he was with
Touche Ross & Co. in Minneapolis, Minnesota.
Mr. Mickelson holds a Juris Doctor degree from Harvard
Law School and received a bachelor's degree in business administration
from the University of South Dakota. Mr. Mickelson serves
on the boards of NorthWestern Growth, Blue Dot, NorthWestern
Services, First Midwest Financial and other private entities.

Christopher
J. Younger
Principal
Mr. Younger joined NGC in 1997. Prior to joining NGC,
Mr. Younger was a corporate and securities attorney with the
law firm of Wilson, Sonsini, Goodrich & Rosati in Palo
Alto, California. Previously, he was a law clerk for the Honorable
Jesse E. Eschbach of the U.S. Court of Appeals for the Seventh
Judicial Circuit in Chicago, Illinois.
Mr. Younger holds a Juris Doctor degree from Harvard
Law School and received a bachelor's degree in philosophy
from Miami University (Ohio). Mr. Younger serves on the boards
of NorthWestern Growth, Expanets and NorCom Advanced Technologies.

Orme
Chief Financial Officer and Vice President of Finance
Mr. Orme joined NGC in 1999. Prior to joining NGC, Mr.
Orme was vice president of rental business finance at Thorn
Americas, Inc. in Wichita, Kansas. Previously, he was a chief
financial officer for Thorn Asia-Pacific in Sydney, Australia.
Mr. Orme holds an MBA degree from the University of Kansas
and received a bachelor of science degree in accounting from
Baker University, Baldwin City, Kansas.

Vice President
Mr. Rausch joined NGC in 1998. Prior to joining NGC,
Mr. Rausch worked as an investment manager at Cargill Financial
Services Corporation in Minneapolis, Minnesota. Previously,
he was a manager of budgeting/projections and analysis for
Olympic/Arcadia Financial Ltd. in Minneapolis.
Mr. Rausch holds a bachelor of science degree in accounting
from the University of South Dakota.

Mr. Nieman joined NGC at its inception in 1994. Prior
to joining NGC, Mr. Nieman was a staff accountant for NorthWestern
Public Service.
